1. Introduction
These Terms of Service ("Terms") govern your use of the Verify Client platform and services ("Services") provided by Verify Client ("we", "us", "our"). By accessing or using our Services, you agree to be bound by these Terms.
These Terms apply to conveyancing firms and their authorised users who subscribe to our platform. Separate terms apply to clients completing onboarding through our platform, as communicated during that process.
2. Description of Services
Verify Client provides a client onboarding platform for conveyancing firms, including:
- Identity verification tools and document collection
- Anti-money laundering (AML) screening integration
- Source of funds documentation collection
- Evidence pack generation and storage
- Audit trail and compliance reporting
Our Services are designed to support your compliance processes. They do not replace professional judgement or your regulatory obligations as a conveyancing firm.
3. Account Registration and Access
3.1 Eligibility
Our Services are available to regulated conveyancing firms operating in the United Kingdom. By registering, you confirm that your firm is appropriately regulated and authorised to provide conveyancing services.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:
- Use strong, unique passwords for all user accounts
- Notify us immediately of any unauthorised access
- Ensure only authorised personnel access the platform
- Maintain appropriate access controls within your organisation
4. Your Responsibilities
4.1 Compliance Obligations
You acknowledge and agree that:
- You remain responsible for all compliance decisions regarding your clients
- Our Services support but do not replace your regulatory obligations
- You will review all items requiring review and verification results
- Final decisions on client acceptance rest with your firm
4.2 Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose
- Attempt to gain unauthorised access to our systems
- Interfere with or disrupt the Services
- Share account credentials with unauthorised parties
- Use the Services in a way that could harm us or other users
5. Fees and Payment
5.1 Pricing
Fees for our Services are set out in your service agreement. We use a usage-based pricing model, with charges based on the volume and type of onboarding requests processed.
5.2 Payment Terms
Invoices are issued monthly and payment is due within 30 days unless otherwise agreed. We reserve the right to suspend Services for overdue accounts after providing reasonable notice.
6. Data Protection
Both parties agree to comply with applicable data protection legislation, including UK GDPR. A Data Processing Agreement forms part of our service agreement, setting out the terms under which we process personal data on your behalf.
You are the data controller for client personal data processed through our platform. We act as your data processor and will only process data in accordance with your instructions and applicable law.
7. Intellectual Property
All intellectual property rights in the Services, including software, designs, and documentation, remain our property. We grant you a limited, non-exclusive licence to use the Services during the term of your subscription.
You retain ownership of your data and client data processed through our platform.
8. Service Availability
We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may occasionally need to suspend Services for maintenance, updates, or security reasons.
We will provide reasonable notice of planned maintenance where possible and will work to minimise disruption to your operations.
9. Limitation of Liability
9.1 Service Limitations
Our Services are provided to support your compliance processes. We do not guarantee the accuracy of third-party verification or screening results. You acknowledge that:
- Identity verification and AML screening have inherent limitations
- Results should be reviewed by qualified personnel
- Our Services do not constitute legal or compliance advice
9.2 Liability Cap
To the maximum extent permitted by law, our total liability for any claims arising from these Terms or your use of the Services shall not exceed the fees paid by you in the 12 months preceding the claim.
We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
10. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Services, your breach of these Terms, or your violation of any law or third-party rights.
11. Term and Termination
11.1 Term
These Terms remain in effect for the duration of your subscription, as set out in your service agreement.
11.2 Termination
Either party may terminate the agreement in accordance with the notice provisions in the service agreement. We may suspend or terminate your access immediately if you breach these Terms.
11.3 Effect of Termination
Upon termination, you will have a reasonable period to export your data. We will delete your data in accordance with our data retention policy and applicable law.
12. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated with at least 30 days' notice. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
